Terms of Service

These terms govern access to HeyRoca websites and software. By creating an account, paying an invoice, or using the staff app or client portal, you agree to them. This draft is not a substitute for review by counsel. Contact [email protected].
The service
HeyRoca is a practice-management workspace for tax and accounting firms. It is not tax-preparation software and does not prepare or e-file income-tax returns (including Form 1040). Optional information-return e-file (for example Form 1099-NEC) may be submitted through a third-party partner when a firm enables that workflow; the partner, not HeyRoca, performs TIN matching and IRS/SSA transmission.HeyRoca does not provide legal or tax advice. Electronic signatures collected in the product are a workflow tool; they are not a substitute for advice on whether a particular signing method is valid for a given document or jurisdiction, including remote Form 8879. You keep your existing preparation tools.
Accounts and firms
Each subscribing organization is a firm. The firm owner is responsible for staff invitations, client portal access, and the accuracy of information stored in the workspace. You must keep credentials confidential and use multifactor authentication where the product requires it. Firms can require MFA for client-portal users.
Fees, term, and cancellation
Public plans are billed per firm, not per user, unless a custom order says otherwise. Subscriptions are month-to-month in USD. Sales tax may be added where required. We do not publish a refund schedule here. Chargebacks or unpaid invoices may suspend access.
The Founding Firm rate of $30 per month is locked for that firm while the subscription remains active. If service lapses and later resumes, then-current list pricing applies. Starter is the standard list price after the founding window. Cancel by emailing [email protected]. Card fees on client invoice payments are charged by Stripe on those payments and are not extra HeyRoca seats.
Beta features
Features labeled beta may change, be delayed, or be withdrawn. Founding firms receive access to features included in the Founding Firm plan while the subscription remains active; that is not a promise of every future product line or a perpetual license after cancellation.
Customer data and intellectual property
The firm owns the client records, documents, and messages it stores. HeyRoca owns the software, documentation, and related intellectual property. We process customer data to provide the service. You represent that you have the right to upload tax documents and personal information, including information about your clients. Our Privacy Policy, Security page, and Data Processing Addendum describe handling practices.
Confidentiality
Each party will protect the other’s non-public information with reasonable care and use it only to perform under these terms, except for information that is public, independently developed, or required to be disclosed by law.
Feedback
If you send ideas or suggestions, you grant HeyRoca a non-exclusive, royalty-free license to use that feedback to operate and improve the service. You are not owed compensation for feedback.
Subprocessors
We use infrastructure providers to run the service, including Stripe (payments), Resend (email), Cloudflare R2 (object storage), and managed PostgreSQL. See the DPA and Security page.
Security incidents
If we confirm a security incident that affects your firm’s customer data, we will notify the firm without undue delay at the owner or billing email on file, and at [email protected] for follow-up.
Acceptable use
Do not misuse the service, probe it except with written permission, upload malware, or use it to send unlawful spam. We may suspend accounts that threaten the security or operation of the platform.
Availability and changes
We aim for a reliable service but do not guarantee uninterrupted uptime. We may modify these terms by posting an updated version. Material changes will be dated at the top of this page.
Disclaimer and liability
The service is provided “as is.” We do not warrant that it will meet every filing deadline or replace professional tax advice. To the extent allowed by law, HeyRoca’s liability for a claim relating to the service is limited to the fees paid by the firm for the service in the three months before the claim.
Survival
Sections that by their nature should survive termination — including customer-data ownership, confidentiality, feedback, disclaimers, liability limits, and this survival clause — remain in effect after the subscription ends.
